Welcome to EDNAknows.com. This User Agreement ("Agreement" or "Terms") is a legal contract between EDNAknows.com ("we," "our," or "us") and you, a licensed and/or certified medical or healthcare professional ("User," "you," or "Licensed Credentialed Professional / LCP").
By creating an account, uploading documents, or utilizing any portion of our platform, applications, and credential management services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and User Representations
By registering for and using this Service, you represent, warrant, and covenant that:
- You are at least 18 years of age.
- You hold a valid, active license, certification, or registration in your respective healthcare field.
- All information, credentials, diplomas, immunization records, and history you upload are true, accurate, current, and complete.
- You will maintain and promptly update your profile data to keep it accurate.
- You are not currently barred or suspended from practicing in your medical field by any state, federal, or regulatory authority.
2. Purpose of the Service
EDNAknows.com provides a secure digital repository and tracking system for medical professionals to manage their licenses, certifications, continuing education (CE), and health compliance records. The platform allows you to grant temporary, explicit access to specific third parties (such as employers, compliance officers, or healthcare facilities).
3. Account Security and Maintenance
- Credentials: You are solely responsible for maintaining the confidentiality of your account login credentials (username and password).
- Unauthorized Use: You agree to notify us immediately at mark@ednaknows.com if you suspect or detect any unauthorized access to your account.
- Liability: You are entirely responsible for all activities, data uploads, and access grants that occur under your account.
4. User Content and License Grant
- Ownership: You retain 100% ownership of all documents, text, images, and data you upload to the Service ("User Content").
- License to Us: You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, transfer, and display your User Content solely to provide the Service to you and to share your profile with third parties only when you explicitly authorize it.
- Prohibited Content: You agree not to upload any content that is fraudulent, misleading, defamatory, violates third-party intellectual property, or contains malicious code or viruses.
5. Third-Party Sharing and Consent
- Employer Access Grants: The Service allows you to grant third parties (e.g., employers or hiring managers) temporary access to view your credentials and verified documents.
- User Discretion: You acknowledge that you control these access grants. We are not responsible for how an authorized third party handles, interprets, or utilizes your information once you grant them access.
- Revocation: You may revoke access grants at any time through your dashboard, though this will not retroactively claw back data previously viewed or downloaded by the third party while access was active.
6. Subscriptions, Fees, and Payments
- Payment Processor: Billing and subscription management are handled securely through our third-party payment processor, Stripe.
- Billing Terms: By purchasing a paid plan, you authorize Stripe to charge your designated payment method for all applicable fees, including recurring subscription charges.
- Cancellation: You can cancel your subscription at any time through your account settings. Subscriptions remain active until the end of the current billing cycle. No partial refunds are provided.
7. Acceptable Use and Restrictions
You agree not to engage in any of the following prohibited behaviors:
- Impersonating another medical professional or uploading credentials that do not belong to you.
- Using any automated system, spider, or scraper to access or extract data from the Service.
- Attempting to interfere with, compromise, or decipher the security infrastructure of our database host, Supabase.
- Circumventing any security features or access controls built into the platform.
8. Disclaimer of Warranties
The Service is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, EDNAknows.com disclaims all warranties, express or implied.
We do not guarantee that the platform will be entirely uninterrupted, error-free, or secure. We do not independently verify the medical accuracy or legal validity of the documents you upload; verification status, if provided, relies entirely on the primary sources or user inputs checked at that specific time.
9. Limitation of Liability
To the maximum extent permitted by New Mexico law, EDNAknows.com, its directors, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of employment opportunities, loss of wages, loss of data, or data breaches resulting from factors beyond our reasonable control. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
10. Termination
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, if we believe you have breached this Agreement, uploaded fraudulent credentials, or engaged in illegal conduct. You may terminate your account at any time by requesting deletion through your dashboard.
11. Governing Law and Dispute Resolution
This Agreement and any dispute arising from your use of the Service shall be governed by, interpreted, and enforced in accordance with the laws of the State of New Mexico, without giving effect to conflict of law principles. Any legal action or proceeding related to this platform must be brought exclusively in the state or federal courts located in New Mexico.
12. Changes to This Agreement
We may modify these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and provide a notification within the app or via email. Continued use of the platform after updates take effect constitutes acceptance of the new Terms.
